Caretta GO Business Reseller Agreement
Version 2026-10-15 · Caretta Digital OÜ, registry code 17582408, Ahtri tn 12, 15551 Tallinn, Estonia

This Agreement sets the terms on which approved travel companies buy eSIMs from Caretta Digital OÜ in bulk and supply them to their travellers, under the Caretta GO name or under their own brand.

1. Parties, purpose and definitions

1.1 This Agreement is between Caretta Digital OÜ, registry code 17582408, Ahtri tn 12, 15551 Tallinn, Estonia, operating the Caretta GO service (“Caretta“, “we”), and the company named in the approved Business account application (the “Reseller“, “you”).

1.2 Caretta supplies prepaid travel eSIM data plans. The Reseller buys them in bulk through the Business Portal and supplies them to its own travellers, either as Caretta GO plans or under the Reseller’s own brand.

1.3 The Agreement is formed when Caretta approves the Reseller’s application and the Reseller accepts these terms in the Business Portal. Each order placed afterwards is governed by this Agreement.

1.4 Definitions:

  • “Business Portal” or “Portal“: Caretta Harbor, the online area at carettago.com/harbor/ where the Reseller manages its account, places orders and downloads documents.
  • “eSIM“: a downloadable SIM profile with one prepaid data plan, delivered as a QR code and a manual activation code.
  • “Plan“: the data allowance, validity period and coverage area of an eSIM, as described in the Portal at the time of the order.
  • “Order“: one purchase of one or more eSIMs placed through the Portal.
  • “Traveller“: the end user to whom the Reseller supplies an eSIM.
  • “Traveller List“: the names and, optionally, email addresses of Travellers that the Reseller submits with an Order.
  • “Delivery Pack“: the PDF file containing the QR codes of an Order, together with a CSV list of the eSIMs.
  • “Reseller Brand“: the name, logo and plan name that the Reseller chooses to show to Travellers under Section 8.
  • “Network Partners“: the mobile network operators and eSIM platform providers through which Caretta provides the service.
  • “Business Day“: a day other than a Saturday, Sunday or public holiday in Estonia.

2. Eligibility and company verification

2.1 The Business Portal is open to registered companies anywhere in the world that sell travel or mobility services and can issue invoices in their own name. It is not available to consumers or to individuals acting outside a registered business.

2.2 To apply, the Reseller provides:

  • the company’s legal name, trading name, registration number, country and registered address;
  • its VAT or tax identification number, where one exists;
  • an official registry extract or certificate of incorporation, issued or confirmed within the last three months;
  • proof of tax registration or an invoice issued by the Reseller to one of its own customers;
  • the name, role and identity document of the person applying on the company’s behalf, and proof of that person’s authority;
  • its travel licence or association membership where its country requires one (for example a TÜRSAB licence in Türkiye) or where it holds one (for example IATA);
  • its website and a business email address on the company’s own domain.

2.3 Caretta may check this information against public registers and other sources, ask for further documents and decline any application without giving reasons. Approval is at Caretta’s sole discretion.

2.4 Caretta keeps a record of the checks made and their result. Identity documents are deleted once the check is complete; company documents are kept for as long as the account is open and for the period required by law afterwards.

2.5 The Reseller must tell Caretta within 14 days of any change to its legal name, ownership, registration, tax status or authorised persons. Caretta may repeat the verification at any time.

2.6 The Reseller confirms that all information it gives is true, complete and up to date. Giving false information is a material breach of this Agreement.

3. Portal account, users and security

3.1 The person who applies becomes the account owner. The owner may invite colleagues as users with one of two roles: “can order” or “view only”. The owner can remove users at any time.

3.2 Each user signs in with personal credentials. Credentials must not be shared, and the Reseller is responsible for every action taken through its account, including Orders placed by its users.

3.3 The Reseller must tell Caretta immediately at harbor@carettago.com if it suspects unauthorised access. Caretta may block the account or a user to protect the Reseller, Travellers or Caretta.

3.4 Delivery Packs and Traveller data are available only to signed-in users of the Reseller’s own account. Download links are personal and expire after a short time.

3.5 The Reseller may give Portal access to its affiliates or contractors acting on its behalf. It remains responsible for their acts and omissions as if they were its own, and remains Caretta’s only contracting party.

4. Catalogue, prices and volume discounts

4.1 The Portal shows the Plans available to the Reseller. The Business catalogue may include Plans that are not offered on the public Caretta GO website. Caretta chooses the Network Partner for each Plan and may change it at any time, provided the Plan’s data allowance, validity and coverage area stay as described at the time of the Order.

4.2 Prices are in euros (EUR). The list price of each Plan is shown in the Portal. The price that applies to an Order is the price shown when the Order is placed.

4.3 The minimum Order is 5 eSIMs.

4.4 A volume discount applies to the list price according to the number of eSIMs in a single Order:

eSIMs in one OrderDiscount
5 to 9none
10 to 195%
20 to 297%
30 or more10%

4.5 Discounts are calculated per Order and are not combined across Orders. They cannot be combined with coupons or other promotions unless Caretta says otherwise in writing.

4.6 Caretta may change list prices, the catalogue and the discount table at any time. Changes do not affect Orders already paid. Changes to the discount table are announced at least 30 days in advance.

4.7 Caretta may agree individual prices with a Reseller in writing. Such prices are confidential under Section 14.

4.8 Each eSIM is a one-time purchase. The Business service does not include adding data to an eSIM already delivered (top-up); a Traveller who needs more data receives a new eSIM through a new Order.

5. Orders and traveller lists

5.1 An Order states the Plan, the number of eSIMs, a group name and, optionally, the travel start date and a Traveller List. One Order may contain one Plan; a group that needs different Plans is placed as separate Orders.

5.2 The Traveller List may be uploaded or pasted in any common format (spreadsheet, CSV or plain text) with one Traveller per line: first name, last name and, optionally, email address. The Portal shows the list as read before the Order is confirmed, and the Reseller must check and correct it at that point.

5.3 If the Traveller List has fewer names than eSIMs ordered, the remaining eSIMs are delivered unassigned to the Reseller. If it has more names than eSIMs, the Order cannot be confirmed until the numbers match or the quantity is increased.

5.4 By submitting a Traveller List, the Reseller confirms that it has the right to share each Traveller’s data with Caretta for delivery of the eSIM and has informed the Traveller accordingly (Section 13).

5.5 An Order becomes binding when payment is confirmed under Section 6. Caretta may refuse or cancel an Order before delivery, with a full refund, where it suspects fraud, a breach of this Agreement or a sanctions risk, or where a Plan is no longer available.

5.6 Caretta may set limits on the number of eSIMs or the value of a single Order, in general or for a particular payment method or account. Current limits are shown in the Portal. At the date of this Agreement, a single Order paid by card may not exceed EUR 1,000; larger Orders are paid by bank transfer.

6. Payment

6.1 Every Order is paid in advance, in EUR, by card, by bank transfer or from the Reseller’s prepaid balance.

6.2 Card. Payment by card is taken at checkout through Caretta’s payment provider. The Order is processed as soon as the payment is authorised. The card must belong to the Reseller or be authorised by it for business use.

6.3 Bank transfer. When the Reseller chooses bank transfer, the Portal issues a pro forma invoice with Caretta’s bank details and a payment reference. The Reseller must:

  • pay the full amount within 7 days, quoting the reference;
  • bear all bank charges on its side, so that Caretta receives the full invoiced amount (charge option “OUR” for international transfers).

The Order is processed only after the full amount has reached Caretta’s account. If payment does not arrive within 7 days, the Order is cancelled automatically. Prices are held for those 7 days.

6.3.1 Bank transfer discount. An Order paid by bank transfer receives a further 2% discount, applied to the Order total after the volume discount in Section 4.4 and shown in the Portal before the Order is placed. A balance top-up paid by bank transfer is credited with 2% extra on top of the amount received. The discount and the bonus apply only to bank transfer; Caretta may change or withdraw them at any time, with no effect on Orders already placed or top-ups already credited.

6.4 Prepaid balance. The Reseller may keep a prepaid balance in its account and pay Orders from it.

  • The balance is topped up by card (subject to the card limit in Section 5.6) or by bank transfer under Section 6.3. The minimum top-up is EUR 100.
  • A top-up is credited once the payment has reached Caretta. Orders are deducted at the prices and discounts that apply when the Order is placed.
  • An Order paid from the balance is accepted only if the balance covers it in full; the balance cannot be combined with another payment method in the same Order.
  • The balance is held in EUR, bears no interest, cannot be transferred to another account and can be used only for Caretta’s Business services.
  • The Reseller can see its balance and every movement in the Portal, and receives an email when the balance falls below a level it chooses.
  • The balance does not expire while this Agreement is in force. When the Agreement ends, the unused balance is refunded within 30 days to a bank account in the Reseller’s name, less any amounts the Reseller owes Caretta and any bank charges. If the Agreement is terminated for fraud, Caretta may withhold the balance to the extent needed to cover its losses.

6.5 Amounts received short of the invoiced total are held until the balance is paid. Amounts paid in excess are refunded or, at the Reseller’s request, applied to its next Order or credited to its prepaid balance.

6.6 If a payment is reversed or charged back after delivery without a valid reason under Section 11, the amount remains due. Caretta may deactivate the eSIMs concerned, deduct the amount from the prepaid balance, suspend the account and recover its costs of collection.

6.7 Late amounts carry interest at the rate set by the Estonian Law of Obligations Act for commercial transactions, from the due date until payment.

7. Delivery of eSIMs

7.1 eSIMs are delivered electronically. Most Orders are delivered within minutes of payment confirmation; Caretta aims to deliver every Order within 24 hours.

7.2 The Reseller always receives the full Delivery Pack for the Order by email and in the Portal: one PDF page per eSIM (Traveller name where given, QR code, Plan and manual activation code) and a CSV list.

7.3 Direct delivery to Travellers is off by default. When the Reseller switches it on for an Order, each Traveller with an email address in the Traveller List also receives their own eSIM email. eSIMs without an email address are delivered only to the Reseller.

7.4 If some eSIMs in an Order cannot be delivered at once, Caretta delivers the eSIMs that are ready, tells the Reseller how many are pending and delivers the rest as soon as possible. If an eSIM cannot be delivered within 72 hours, the Reseller may cancel it for a full refund of its price.

7.5 Delivery is complete when the Delivery Pack is sent to the Reseller’s account email. From then on, the Reseller is responsible for keeping QR codes secure and passing them only to the intended Traveller. A QR code that is scanned on a device by mistake, or by someone other than the Traveller, cannot be recovered or reissued at Caretta’s cost.

7.6 Each Plan shows its installation deadline (the latest date by which the eSIM must be installed) and when its validity starts: in most cases on first connection to a network in the coverage area, and in some cases on installation. Both are stated in the Portal and in the Delivery Pack.

8. Selling under the Reseller’s own brand

8.1 The Reseller may supply eSIMs to Travellers under the Caretta GO name or under the Reseller Brand. The choice is made in the Portal and may be changed for future Orders at any time.

8.2 When the Reseller Brand is used, Caretta shows the Reseller’s name, logo and chosen plan name (for example “[Brand] SIM Greece 5 GB”) in the Delivery Pack and in emails sent to Travellers. The Caretta GO name and the names of Network Partners do not appear in those materials, except where technically unavoidable (Section 8.4).

8.3 The Reseller uploads its logo and enters its plan name in the Portal. It confirms that it owns or is licensed to use them and that they do not infringe anyone’s rights or mislead Travellers. Caretta may refuse a name or logo that is unlawful, offensive, misleading or confusingly similar to a mobile network operator or another brand.

8.4 Some details are controlled by Network Partners or by the Traveller’s device and cannot be changed by Caretta. In particular:

  • the network name shown on the device while connected is the name of the local network;
  • the activation code contains the technical address of the eSIM platform;
  • the label of the eSIM in the device settings is set by the Traveller, and the name stored in the eSIM profile is set by the Network Partner and cannot be customised.

8.5 By default, emails to Travellers are sent from a Caretta delivery address, showing the Reseller Brand as sender name and the Reseller’s support address as reply-to address.

8.6 Under the Reseller Brand, the Reseller presents the eSIM as its own product, and the Reseller (not Caretta) is the seller to the Traveller. The Reseller must not present itself as a mobile network operator or state that it owns or operates a mobile network.

8.7 Caretta may show the Reseller’s name in its records, invoices and communications with the Reseller. Caretta will not name the Reseller as a customer in public materials without its written consent.

8.8 Own sending domain (optional, paid). The Reseller may ask for Traveller emails to be sent from an address on its own domain (for example esim@yourbrand.com). This is a paid service:

  • Caretta charges the one-time set-up fee and the monthly fee shown in the Portal, invoiced in advance;
  • the Reseller adds the DNS records Caretta provides (SPF, DKIM and DMARC) to its domain and keeps them in place;
  • Caretta may switch back to its own delivery address if the records are removed or changed, if the domain’s sending reputation puts delivery at risk, or if the fee is unpaid;
  • the Reseller may cancel the service with effect from the end of any month; fees already paid are not refunded.

Caretta does not guarantee inbox placement for emails sent from the Reseller’s domain.

9. Reseller’s duties towards Travellers and support

9.1 The Reseller is responsible for its relationship with its Travellers, including the price it charges, its own terms of sale, and compliance with the consumer protection, advertising and tax laws of the countries where it sells. The Reseller sets its own resale prices freely.

9.2 Before supplying an eSIM, the Reseller must tell the Traveller at least:

  • that the device must support eSIM and must not be locked to a mobile operator;
  • the Plan’s data allowance, validity, coverage area and installation deadline;
  • how to install the eSIM and when its validity starts;
  • that the Plan includes mobile data only, unless the Portal states otherwise for that Plan.

9.3 The Reseller gives first-line support to its Travellers. Caretta gives second-line support to the Reseller by email at harbor@carettago.com and aims to answer within one Business Day, and faster for urgent connection problems of Travellers already abroad.

9.4 When the Caretta GO name is used, Caretta may also support Travellers directly. When the Reseller Brand is used, Caretta contacts Travellers only to deliver eSIMs and to send service messages about their Plan (for example installation help or a low-data notice), always under the Reseller Brand.

9.5 Caretta never sends marketing messages to Travellers whose data it received from the Reseller and does not use that data to sell to them directly.

9.6 The Reseller markets the eSIMs honestly. It does not give Travellers false or misleading information about the Plans, their coverage or Caretta. When it sells under the Caretta GO name, it provides copies of its marketing materials on request.

9.7 The Reseller makes sure its staff can answer Travellers’ questions about installation and use. It tells Caretta promptly about any complaint or circumstance that could lead to a claim against Caretta.

9.8 The Reseller confirms that it holds every licence, registration or certification its country requires for selling the eSIMs, and provides proof on request. It tells Caretta within 15 days if it loses one or is prohibited from selling in any area.

10. Service scope, coverage and acceptable use

10.1 Caretta provides access to mobile data through Network Partners. Caretta is not a mobile network operator and does not own or operate a mobile network; it resells prepaid mobile data carried on the networks of its Network Partners. Coverage, speed and network availability depend on the local networks and on the Traveller’s device and location. Caretta does not guarantee uninterrupted service, a particular speed or coverage in every place within a coverage area.

10.2 The networks listed for a Plan are those available when the Order is placed. Network Partners may change, add or remove networks. Caretta will make reasonable efforts to keep equivalent coverage.

10.3 Some Plans are subject to a fair use policy or speed limits, which are stated in the Plan description. The internet connection of a Plan may appear to come from a country other than the destination.

10.4 The eSIMs may be used only by individual Travellers in phones, tablets and similar personal devices. They must not be used:

  • in SIM boxes, gateways, routers for permanent installation, or machine-to-machine and IoT devices;
  • for any unlawful activity, fraud or attacks on networks or systems;
  • to send spam or unsolicited bulk messages;
  • for permanent use in one country where local rules on roaming or fair use prohibit it, since the Plans are meant for travel;
  • in a way that harms the networks of Network Partners or other users.

10.5 The Reseller sells eSIMs only to its own Travellers. It must not resell them to other resellers or list them on online marketplaces without Caretta’s prior written consent.

10.6 Caretta may suspend an eSIM that is used in breach of this Section or at the request of a Network Partner or a public authority, and will tell the Reseller as soon as practicable.

10.7 Except as expressly stated in this Agreement, and to the extent permitted by law, the eSIMs and the Portal are provided “as is” and “as available”. Caretta gives no other warranties, express or implied, including fitness for a particular purpose.

11. Cancellations, refunds and replacements

11.1 Because eSIMs are digital products delivered at once and bought for business purposes, there is no general right to cancel an Order after delivery. Refunds are given only as set out in this Section.

11.2 Not installed. For an eSIM that has not been installed on any device and has not connected to any network, the Reseller may request a refund within 30 days of delivery. Caretta refunds the price paid for that eSIM less a handling fee of EUR 1 per eSIM. Once the refund is made, the eSIM is deactivated.

11.3 Technical fault. If an eSIM cannot be installed or cannot connect in its coverage area for a reason within the control of Caretta or its Network Partners, the Reseller reports it with the eSIM number and a description. Caretta first tries to fix the problem, then may replace the eSIM. If neither works within a reasonable time, Caretta refunds the eSIM’s price in full, or the unused part of the Plan where the eSIM has already been used.

11.4 No refund is given for:

  • data or days already used;
  • incompatible or operator-locked devices;
  • a QR code scanned by mistake or used by someone other than the Traveller;
  • a missed installation deadline;
  • poor coverage inside the coverage area where networks were working normally;
  • suspension under Section 10.6.

11.5 Refund requests are made through the Portal or to harbor@carettago.com. Approved refunds are paid to the original payment method within 14 days. Bank transfer refunds are paid to the account the payment came from, less any bank charges on Caretta’s side.

11.6 Refunds for Orders paid from the prepaid balance are credited back to the balance. Other refunds are credited to the balance only if the Reseller asks for it.

12. Invoices and taxes

12.1 Caretta issues an invoice for every paid Order to the Reseller’s company as registered in the Portal, showing the Reseller’s legal name, registration number and VAT or tax number. Invoices are available in the Portal and are sent by email.

12.2 Prices are stated without VAT. Caretta adds VAT or another tax only where it is required to charge it. Where the reverse-charge mechanism applies, the invoice says so and the Reseller accounts for the tax.

12.3 The Reseller is responsible for its own taxes, including the tax treatment of its sales to Travellers.

12.4 All payments are made without set-off or deduction. If the law of the Reseller’s country requires a tax to be withheld from a payment, the Reseller pays such additional amount that Caretta receives the full invoiced amount, unless the parties agree otherwise in writing.

12.5 The Reseller tells Caretta immediately if its VAT or tax number changes or becomes invalid. Caretta may check VAT numbers in the EU VIES system.

12.6 The Reseller raises any objection to an invoice within 7 days of receiving it, with supporting evidence. Caretta answers within 30 days. Undisputed amounts remain due.

13. Data protection

13.1 Each party complies with the data protection laws that apply to it, including the EU General Data Protection Regulation (GDPR).

13.2 Account data. Caretta processes the data of the Reseller’s users and contact persons as an independent controller, under the Caretta GO Privacy Policy.

13.3 Traveller data. For Traveller names and email addresses received in Traveller Lists, the Reseller is the controller and Caretta processes them on the Reseller’s behalf as its processor. Caretta:

  • processes Traveller data only to deliver the eSIMs, to send service messages about them and to give support, following the Reseller’s instructions in this Agreement;
  • ensures that its staff and service providers are bound by confidentiality;
  • keeps the data secure with appropriate technical and organisational measures, including access limited to the Reseller’s account and encrypted connections;
  • uses service providers for hosting, email delivery and eSIM provisioning, which the Reseller authorises; Network Partners receive eSIM identifiers and usage data only, not Traveller names or email addresses;
  • tells the Reseller without undue delay, and in any case within 72 hours, after becoming aware of a personal data breach affecting Traveller data;
  • helps the Reseller answer requests from Travellers exercising their rights;
  • deletes Traveller names and email addresses 90 days after the end of the Plan’s validity, or earlier at the Reseller’s request, keeping only what the law requires for accounting;
  • makes available the information needed to show compliance with this Section.

13.4 Where Traveller data is transferred outside the European Economic Area, Caretta uses a lawful transfer mechanism such as the European Commission’s standard contractual clauses.

13.5 The Reseller is responsible for having a lawful basis to share Traveller data with Caretta and for informing Travellers about it.

13.6 Caretta tells the Reseller at least 30 days in advance before adding a new category of service provider that processes Traveller data. The Reseller may object on reasonable data protection grounds; if no solution is found, it may end the Business service without penalty.

13.7 Caretta may use usage data in anonymised or aggregated form, identifying neither the Reseller nor any Traveller, to operate, secure and improve its services.

14. Confidentiality and non-circumvention

14.1 Each party keeps confidential the non-public information it receives from the other, including prices, discounts, individual terms, Network Partner details, technical information and the other party’s customer data. It uses that information only for this Agreement.

14.2 This duty does not apply to information that is or becomes public without fault of the receiving party, was already lawfully known to it, or must be disclosed by law or by order of an authority (in which case the disclosing party is told first where the law allows).

14.3 The identity of Caretta’s Network Partners and the terms between Caretta and them are Caretta’s confidential information. During this Agreement and for 12 months after it ends, the Reseller must not use information obtained through the Business service to contact Caretta’s Network Partners in order to bypass Caretta or obtain the same products directly.

14.4 Confidentiality obligations continue for three years after this Agreement ends, and without time limit for personal data and Network Partner information.

15. Intellectual property

15.1 Caretta and its licensors own all rights in the Caretta GO brand, the Business Portal, its software and content, and the design of the Delivery Pack. The Reseller receives only the right to use the Portal for its business under this Agreement.

15.2 When selling under the Caretta GO name, the Reseller may use the Caretta GO name and logo only as provided by Caretta and only to promote Caretta GO plans. It must not register domain names, social media accounts or trademarks containing “Caretta”.

15.3 The Reseller keeps all rights in the Reseller Brand. It grants Caretta a non-exclusive, royalty-free licence to use the Reseller Brand, during this Agreement, solely to produce Delivery Packs and Traveller emails and to show it in the Portal.

15.4 The Reseller must not copy, reverse engineer or extract data from the Portal by automated means, or use Portal content for text and data mining or for training artificial intelligence models, except through an interface Caretta provides for that purpose.

15.5 Without Caretta’s written consent, the Reseller must not bid on “Caretta” or “Caretta GO” as keywords in paid search advertising, use them in advertising copy or present any website as an official Caretta GO website.

15.6 Caretta may use suggestions and feedback from the Reseller to improve its services without any obligation to the Reseller.

16. Compliance

16.1 Each party complies with the sanctions and export control laws of the European Union, the United Nations and any other country whose laws apply to it.

16.2 The Reseller confirms that neither it, its owners, directors nor authorised persons are subject to sanctions. It must not supply eSIMs to sanctioned persons or for use in sanctioned countries or regions. Caretta may refuse to serve certain destinations or countries of establishment.

16.3 Neither party offers, gives or accepts bribes or improper payments in connection with this Agreement.

16.4 The Reseller cooperates with Caretta in preventing fraud, including by reporting suspicious orders, chargebacks or misuse of eSIMs without delay.

16.5 A breach of this Section is a material breach of this Agreement.

16.6 Caretta may ask for reasonable evidence of compliance with this Section. The Reseller reports at once to info@carettago.com any request for an improper payment, or any other unlawful conduct, connected with this Agreement.

17. Liability and indemnity

17.1 Neither party is liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill or data, or for claims by Travellers for such loss.

17.2 Caretta’s total liability arising from this Agreement in any 12-month period is limited to the lower of EUR 10,000 and the amounts paid by the Reseller for Orders in the 12 months before the event giving rise to the claim.

17.3 These limits do not apply to liability for intent or gross negligence, for death or personal injury, or to any other liability that cannot be limited by law.

17.4 The Reseller indemnifies Caretta against claims, losses and reasonable costs, including legal fees, arising from:

  • the Reseller’s sales to Travellers and its own terms of sale;
  • the Reseller Brand infringing the rights of a third party;
  • the Reseller sharing Traveller data without a lawful basis;
  • a breach of Sections 10, 14 or 16.

17.5 Neither party is liable for delay or failure caused by events beyond its reasonable control, including network outages of third parties, decisions of authorities, war, natural disasters, epidemics and large-scale cyber attacks. The affected party tells the other without delay and takes reasonable steps to limit the effects.

18. Suspension, term and termination

18.1 This Agreement starts on approval of the application and continues until terminated.

18.2 Either party may terminate it at any time with 30 days’ notice by email.

18.3 Either party may terminate it with immediate effect if the other party commits a material breach and, where the breach can be remedied, does not remedy it within 14 days of a written request, or if the other party becomes insolvent or ceases business.

18.4 Caretta may suspend the Reseller’s account, or terminate with immediate effect, in case of suspected fraud, false information, chargebacks, sanctions concerns, or a request from a Network Partner or an authority.

18.5 On termination, Orders already paid and delivered remain valid until their Plans end, unless terminated for fraud, sanctions or misuse. Orders paid but not yet delivered are delivered or refunded. Amounts owed remain due.

18.6 Sections 6.4 (refund of unused balance), 6.6, 6.7, 11, 12, 13, 14, 15, 17 and 19 continue after termination.

19. Changes, notices, governing law and general terms

19.1 Caretta may change this Agreement by giving at least 30 days’ notice by email and in the Portal. If the Reseller does not accept a change, it may terminate before the change takes effect. Placing an Order after that date means acceptance. Changes required by law or by a Network Partner may take effect sooner.

19.2 Notices are given by email: to Caretta at info@carettago.com, and to the Reseller at the account owner’s email address. A notice is received on the Business Day after it is sent.

19.3 This Agreement is governed by the laws of the Republic of Estonia, excluding the UN Convention on Contracts for the International Sale of Goods. Disputes that cannot be settled by negotiation are decided by Harju County Court in Tallinn, Estonia.

19.4 This Agreement is written in English. A translation is for information only; the English text prevails.

19.5 The Reseller may not transfer its rights or obligations without Caretta’s written consent. Caretta may transfer this Agreement to a successor of its business.

19.6 If any provision is invalid, the rest of the Agreement remains in force, and the invalid provision is replaced by a valid one closest to its purpose.

19.7 This Agreement, together with the Plan descriptions in the Portal and any individual terms agreed in writing, is the entire agreement between the parties on its subject. The Reseller’s own terms do not apply.

19.8 The parties are independent contractors. Nothing in this Agreement creates a partnership, agency or employment relationship.

19.9 A failure or delay in exercising a right is not a waiver of it. A waiver is valid only if made in writing.

19.10 If documents conflict, this Agreement prevails over the Plan descriptions in the Portal. Individual terms agreed in writing prevail over both for the matters they cover.
